End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Connect Social, LLC ("Licensor," "we," "us," or "our"), a Wyoming limited liability company with its principal office at 1621 Central Ave, Cheyenne, WY 82001, for the use of Nucleus ("the Software"), an internal business command center accessible at nucleus.connectsocial.co.

By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree, you must not access or use the Software.

2. License Grant

Subject to the terms and conditions of this EULA, Connect Social, LLC grants you a:

• Limited — restricted to the scope of your authorized role and permissions
• Non-exclusive — the same Software is made available to other authorized users
• Non-transferable — you may not assign, delegate, or transfer your access to any other person
• Revocable — access may be revoked at any time at Connect Social's sole discretion

license to access and use the Software solely for internal business purposes in connection with your role as an employee, contractor, or authorized client of Connect Social, LLC.

3. Restrictions

You may not, directly or indirectly:

• Copy, reproduce, distribute, or create derivative works of the Software or any part thereof
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the Software
• Sublicense, lease, rent, loan, or otherwise transfer access to the Software to any third party
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software for any purpose other than the authorized business purposes described in this EULA
• Attempt to gain unauthorized access to any features, systems, or data beyond your assigned permissions
• Use automated scripts, bots, or other tools to access or interact with the Software without prior written authorization
• Introduce malicious code, viruses, or any other harmful technology into the Software

4. Intellectual Property

The Software and all copies thereof are proprietary to and the exclusive property of Connect Social, LLC. All rights, title, and interest in and to the Software, including all intellectual property rights (patents, copyrights, trademarks, trade secrets, and any other proprietary rights), belong to and are retained by Connect Social, LLC.

This EULA does not grant you any ownership interest in the Software. You acknowledge that the license granted herein provides only a limited right of use under the terms and conditions of this EULA.

Any feedback, suggestions, or ideas you provide regarding the Software shall become the exclusive property of Connect Social, LLC, and may be used without restriction or compensation.

5. Confidentiality

You acknowledge that the Software and all data accessible through it constitute confidential information of Connect Social, LLC. You agree to:

• Maintain the confidentiality of all information accessed through the Software
• Not disclose any confidential information to unauthorized parties
• Use confidential information solely for the purposes authorized under this EULA
• Take reasonable measures to protect confidential information from unauthorized access or disclosure

This confidentiality obligation survives the termination of this EULA.

6. Termination

This EULA is effective until terminated. Connect Social, LLC may terminate this EULA and your access to the Software at any time, with or without cause, and with or without notice.

This EULA will automatically terminate if you violate any of its terms. Upon termination:

• Your license to use the Software immediately ceases
• You must immediately stop all use of the Software
• You must destroy or return any confidential information in your possession that was obtained through the Software
• Sections 3 (Restrictions), 4 (Intellectual Property), 5 (Confidentiality), 7 (Disclaimer), 8 (Limitation of Liability), and 10 (Governing Law) survive termination

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. CONNECT SOCIAL, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CONNECT SOCIAL DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SOFTWARE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONNECT SOCIAL, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY OF THE FOLLOWING ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE SOFTWARE:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunity
• Any loss of goodwill or reputation
• The cost of procurement of substitute goods or services

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF CONNECT SOCIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CONNECT SOCIAL'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA EXCEED ONE HUNDRED DOLLARS ($100.00).

9. Updates

Connect Social, LLC may update, modify, or discontinue the Software or any of its features at any time without notice. Connect Social is not obligated to provide any updates, patches, or support for the Software.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and you hereby consent to the personal jurisdiction of such courts.

11. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

12. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Connect Social, LLC regarding the Software and supersedes all prior or contemporaneous understandings, agreements, or communications, whether written or oral, relating to the Software.
