Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Nucleus ("the Platform"), an internal business command center operated by Connect Social, LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company with its principal office at 1621 Central Ave, Cheyenne, WY 82001.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

2. Access and Authorization

Nucleus is an internal business tool. Access is by invitation only and is restricted to:

• Employees of Connect Social, LLC
• Independent contractors engaged by Connect Social, LLC
• Clients granted portal access by a Connect Social administrator

You may only access the Platform if you have received an explicit invitation from a Connect Social administrator. Unauthorized access is prohibited and may result in immediate termination of access, as well as legal action.

3. User Responsibilities

As an authorized user of the Platform, you agree to:

• Keep your login credentials confidential and not share them with any other person, including other authorized users
• Not export, download, copy, or otherwise remove data from the Platform without explicit written authorization from Connect Social management
• Not attempt to access features, data, or areas of the Platform beyond your assigned role and permissions
• Report any suspected security incidents, unauthorized access, or data breaches to jake@connectsocial.co immediately
• Use the Platform solely for legitimate business purposes related to your role at or engagement with Connect Social

4. Sensitive Data

The Platform handles sensitive business information, including but not limited to financial data, advertising campaign data, client information, employee compensation data, and internal business metrics. You acknowledge that:

• All data within the Platform is confidential and proprietary to Connect Social, LLC
• You will not disclose, share, or distribute any data accessed through the Platform to unauthorized parties
• Your access to specific data is governed by role-based access controls, and you will not attempt to circumvent these controls

5. Intellectual Property

The Platform, including all software, source code, designs, features, content, and documentation, is the exclusive property of Connect Social, LLC. No license, right, or interest in any Connect Social intellectual property is granted except the limited right to use the Platform as described in these Terms. You may not:

• Copy, modify, or create derivative works based on the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Remove or alter any proprietary notices or labels on the Platform
• Use any Connect Social trademarks, logos, or branding without prior written consent

6. Termination

Connect Social reserves the right to suspend or revoke your access to the Platform at any time, for any reason, with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• End of your employment or contractual relationship with Connect Social
• Expiration of a client engagement
• Security concerns

Upon termination, your right to access the Platform ceases immediately. Obligations regarding confidentiality and data protection survive termination.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONNECT SOCIAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONNECT SOCIAL, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL CONNECT SOCIAL'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Connect Social, LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your violation of these Terms or your misuse of the Platform.

10. Modifications

Connect Social reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Laramie County, Wyoming.
